The following Model Bylaws will assist you in forming a Local Chapter of
the International Guild of Glass Artists. We suggest that you read them
through with the others in your area who propose to found the Local
Chapter, following the instructions and suggestions below, then decide on your local chapter's name and write that in the first space provided. (Usually, the name of the local chapter is the NAME OF THE CITY, plus the NAME OF THE STATE.) Thereafter, white spaces are also provided throughout the text for the local chapter's name, you may merely write "ditto" or insert " marks to indicate that it is the same.

When you have made whatever changes, alterations or amendments your Local Chapter feels are necessary, make a clean copy of your new Chapter Bylaws and send it to the IGGA Chapters Committee (Local Chapter Liaison on the Board of Directors) for its approval, as directed at the end of the text of these Model Bylaws. An approved set of your local bylaws with your local chapter's name in place wherever it appears and stamped with the IGGA Seal will be returned to you with the IGGA-CC's approval letter.

Once your group meets all the requirements, you can apply for an immediate Chapter Grant of $75 to assist in your startup costs by making a request in writing, and sent to the Director of the Chapters Committee (address below), who will present it to the Board of Directors for approval.

MODEL BYLAWS

BYLAWS 
of the International Guild of Glass Artists

ARTICLE I. NAME & PURPOSE

1. The name of this organization shall be

International Guild of Glass Artists -_________________________________________ Chapter.

2. International Guild of Glass Artists - _________ Chapter is a local chapter of the International Guild of Glass Artists, Inc. and is subject to the Bylaws of and the resolutions adopted by the International Guild. The International Guild of Glass Artists, Inc. (IGGA WorldWide) is herein abbreviated as "IGGA-WW" and the IGGA Chapters Committee as "IGGA-CC." The affairs of International Guild of Glass Artists _________ Chapter are legally separate from those of IGGA-WW and IGGA-WW shall not be responsible for any debts or obligations incurred by International Guild of Glass Artists _________ Chapter.

ARTICLE II. MEMBERSHIP AND DUES

1. Membership of International Guild of Glass Artists _________ Chapter shall be open to all members of IGGA-WW in good standing in the geographic areas assigned to International Guild of Glass Artists _________ Chapter by the IGGA-CC, or as otherwise assigned by IGGA-WW. Membership in IGGA-WW is required. Members needing financial assistance to maintain their membership may apply, confidentially, to the chapter Treasurer for financial assistance.

2. IGGA-WW members in good standing who are not also members of International Guild of Glass Artists _________ Chapter are welcome to participate in the social activities of the local chapter at the discretion of the officers of the local chapter. The IGGA-WW Chairperson, his or her surrogate, and members of the IGGA-WW Board of Directors shall be permitted to assist and advise in the business affairs of the local chapter in the discharge of their official duties.

3. Dues for membership in International Guild of Glass Artists _________ Chapter shall be set by the Executive Committee of the local chapter and those dues shall be used by the local chapter for its own programs and purposes. Payment of dues to International Guild of Glass Artists _________ Chapter shall not be construed as membership in IGGA-WW, dues for which are separate from those of the local chapter. Benefits of membership in IGGA-WW shall accrue to those who have paid dues to IGGA-WW separately from and in addition to any dues paid to International Guild of Glass Artists _________ Chapter.

ARTICLE III. OFFICERS & DUTIES

1. The governing body of International Guild of Glass Artists ______________ Chapter shall be an Executive Committee consisting of three officers (President, Local Secretary, and Treasurer), plus additional members elected at-large (one per 200 local members) plus any appointed chairmen (Program Chairman, Recruitment Chairman, Publications Chairman) as determined by the Chapter. No more than one-half of the voting members of the Executive Committee may be appointed officers. At their first meeting after taking office, the elected members of the Executive Committee shall elect from among themselves their President, Local Secretary, and Treasurer.

A. Officers

1. The President shall be the chief executive officer and liaison with other local chapters and with IGGA-WW.

2. The Local Secretary shall assist the President, preside over meetings in the absence of the President, and succeed to the office of President if that office becomes vacant. The Local Secretary shall also be responsible for keeping minutes of the business and Executive Committee meetings.

3. The Treasurer shall be responsible for financial matters of the local chapter, including the finances of the local chapter newsletter, and shall submit to the Executive Committee a semi-annual financial report which shall also be published in the local chapter newsletter, a copy of each issue of which shall be sent to the headquarters of IGGA-WW. The financial report shall contain schedules of income, expenses and balances for all funds under the control of the local chapter, including Regional Gathering (RG), scholarship and other special funds. The Treasurer's Report shall also include a listing of all equipment owned by the local chapter. The Treasurer may assist the Editor in the preparation and submission of any postal forms that might be required.

B. Chairmen

1. The Program Chairman shall be responsible for arranging for local chapter activities, and shall coordinate with and advise the officers and the Editor of these activities.

2. The Recruitment Chairman shall be responsible for publicity, public relations, and recruitment programs.

3. The Publications Chairman shall be responsible for the local chapter newsletter, and shall, with the consent of the Executive Committee, appoint the Editor. The Publications Chairman may also serve as Editor.

C. Other Appointed Positions

1. The Editor shall edit the local chapter's newsletter. The Editor shall publish notices of meetings and programs, required ballots, results of business meetings and elections, amendments to the bylaws and related discussions and ballots, the semi-annual financial reports, and shall prepare and publish Post Office forms if required. The Editor may be removed by the Executive Committee or upon petition signed by one-third of the members of the local chapter. The outgoing Editor must turn over all files In good order to the incoming Editor no later than 15 days after the outgoing Editor leaves office.

2. Other appointed positions of the local chapter may include, but are not limited to, Area Coordinators for outlying groups of members, and Coordinators for other activities as deemed necessary.

2. The terms of office of elected officers shall be one year from January 1st to December 31st, or until installation of a properly qualified successor, except in the case of resignation, or removal from office as provided in Article III (3).

3. The term of office for all appointed officers and positions expires at the end of the term of office of the current elected officers. Appointed officers, positions and committees are appointed by the Local Secretary (or, in the case of the Editor, the Publications Chairman) with the approval of the Executive Committee, and may be removed from office by majority vote of the Executive Committee unless otherwise stated herein.

4. All officers and appointees shall turn over all files, office equipment and materials pertaining to their offices to either their successor(s), to the current Local Secretary, or to another member of the Executive Committee no later than four weeks after leaving office unless otherwise stated herein.

5. Elected members of the Executive Committee may be removed from office for cause by unanimous vote of all other voting members of the Executive Committee or by recall election. A recall election may be called by a petition citing the reason for such action, and signed by 10% of the membership of the local chapter as listed on the most recent membership roster provided by IGGA-WW. The balloting provisions of a regular election shall apply except that a recall election must be held within 60 days of presentation of a properly qualified petition at either a regular or special meeting of the local chapter, and the dates set forth in Article V shall be adjusted appropriately.

6. The Executive Committee shall select a replacement for any Executive Committee member who resigns, or who is removed or recalled. A simple majority of all voting members of the Executive Committee constitutes a quorum to transact business.

7. All officers and appointees shall be current members in good standing of IGGA-WW and of the International Guild of Glass Artists ________________ Chapter.

ARTICLE IV. MEETINGS

1. Regular meetings or activities may be held at such times as may be appropriate; however a regularly scheduled meeting must be held at least once a quarter. Notice of meetings and activities shall be published in the newsletter.

2. Special business meetings may be called at any time by the Local Secretary or by the Executive Committee, and shall be called upon receipt of a petition signed by 10% of the membership of the local chapter, using the most recent membership roster provided by IGGA-WW as a measure of membership count. The date, time, place and purpose of the special meeting shall be announced or reported in the local chapter newsletter (or by direct mail). No other business than that indicated in the notice calling the meeting may be acted on.

3. All business meetings of International Guild of Glass Artists _________ Chapter, and the Executive Committee, shall be held within the geographical limits of the chapter as assigned by the IGGA-CC.

ARTICLE V. ELECTIONS

1. No member of the Nominating Committee or Election Committee may be a voting member of the Executive Committee or a candidate in the upcoming election. The Nominating and Election Committees may comprise the same members.

2. No later than September 15th of each year, the Executive Committee shall appoint a Nominating Committee consisting of three members which shall, no later than the deadline for the November issue of the local chapter newsletter, nominate one or more candidates for each opening on the Executive Committee. The membership of the local chapter shall be notified of these nominations in the November issue of the local chapter newsletter or by mail posted no later than November 1st.

3. No later than November 1st the Executive Committee shall name an Election Committee of three members who shall be responsible for conducting the election, receiving and counting the ballots, and certifying the results. The Election Committee shall determine, and cause to be published, those election rules and regulations not covered by these bylaws.

4. No later than November 15th additional nominations may be made by petition signed by five (5) members of the local chapter and delivered to the Chairman of the Nominating Committee.

5. Ballots shall be printed in the December issue of the local chapter newsletter or mailed to all members of the local chapter, but in either case posted no later than December 1st. The mail ballots must be returned to the Chairman of the Election Committee and received no later than December 20th. Ballots received after that date shall not be counted. A plurality of valid votes cast for each office shall constitute election. The Chairman of the Election Committee will certify the results of the election to the Local Secretary and shall have the election results published in the next possible issue of the local chapter newsletter. Votes which are tied shall be determined by the Chairman of the Election Committee by a flip of a coin.

6. IGGA-WW shall be notified of the results of the election, and shall be notified of any changes in the membership of the Executive Committee during the year as they occur and within 30 days of their occurrence.

ARTICLE VI. AMENDMENTS

1. Amendments to these bylaws may be proposed by the Executive Committee or by a petition signed by twenty (20) members of the local chapter. Such proposals shall be submitted to the IGGA-CC for its approval, following which they shall be published in the next issue of the local chapter newsletter. A mail ballot shall appear in the issue of the local chapter newsletter that follows publication of the proposal. Balloting deadline shall be no less than 90 days following the first publication of the proposed amendment(s) in the local chapter newsletter. To become effective, an amendment to these bylaws shall require an affirmative vote of the majority of those casting valid ballots, as well as the above approval of the IGGA Chapters Committee.

2. Any changes to the IGGA-CC published Model Bylaws shall hereby be incorporated into these Bylaws of International Guild of Glass Artists _________ Chapter without further vote of the Chapter.

ARTICLE VII. DISSOLUTION

The International Guild of Glass Artists ____________________ Chapter shall use its funds only to accomplish the objectives and purposes specified in these by laws, and no part of said funds shall be distributed to the member of the Chapter. In the event of dissolution of the International Guild of Glass Artists ______________ Chapter, any funds or other assets remaining after payment of, or provision for payment of, all debts and liabilities shall be returned to the IGGA-WW. Any liabilities beyond its assets shall be the responsibility of the Chapter and its officers.

ARTICLE VIII. IGGA LOGO & NAME

1. International Guild of Glass Artists, Inc. (IGGA WorldWide) (IGGA-WW) has granted a royalty free, non-exclusive license to International Guild of Glass Artists _________ Chapter for the use of the mark "IGGA" and a logo, consisting of a transom with radiating mullions over the organization's name within a border, in connection with the services and purposes of International Guild of Glass Artists _________ Chapter. IGGA-WW retains full ownership of the mark and logo and all statutory and commonlaw rights in the mark and logo. Members of International Guild of Glass Artists _________ Chapter may also use the logo on their letterhead or business cards as long as they are current in their dues to International Guild of Glass Artists, Inc. (IGGA WorldWide) and the local chapter shall ensure that no person shall use said logo or represent themselves as members of International Guild of Glass Artists _________ Chapter or of IGGA-WW while they are not current in their dues.

ARTICLE IX. PARLIAMENTARY PROCEDURE & RULES OF ORDER

1. The rules contained in Robert's Rules of Order, Newly Revised, latest edition, shall govern the local chapter in all cases to which they are applicable and not inconsistent with these Bylaws.

2. Rules of Order for the Executive Committee and for those matters concerning the local chapter which are not specified in these Bylaws may be adopted by the Executive Committee.
